Nevada Shooting Sports (NVSS) is raising capital by offering a passive investment opportunity in compliance with Regulation D, Rule 506(c) of the U.S. Securities and Exchange Commission (SEC). This regulation requires any potential investor to be verified as an “Accredited Investor” under the SEC’s guidelines in order to participate.

This verification ensures that the investor possesses the financial sophistication and resources necessary to assume the risks associated with private, unregistered investment opportunities.

Who is an Accredited Investor?

Individuals may qualify based on any one of the following:

• Income
• Annual income of $200,000 (or $300,000 with a spouse) in each of the past two years, with a reasonable expectation of the same income level in the current year.
• Net Worth
• Net worth of over $1 million (individually or jointly with a spouse), excluding the value of the primary residence.
• Professional Certifications
• Holders of a Series 7, Series 65, or Series 82 license in good standing.
• Private Fund Insiders
• “Knowledgeable employees” of a private fund that is issuing the offering.

Business and other entities may qualify based on any one of the following:

• Assets Over $5 Million
• Trusts, companies, or 501(c)(3) organizations not formed specifically to invest in the offering and that possess over $5 million in assets.
• Professional Status
• Registered investment advisers, broker-dealers, insurance companies, banks, and certain other regulated entities.
• Family Offices & Their Clients
• Family offices with at least $5 million in assets under management and a financially sophisticated person directing investments, including certain clients of such family offices.

How are Accredited Investors Verified?

Verification Process:

• Financial Documentation
• W-2 forms, tax returns, bank or brokerage statements.
• Third-Party Verification
• A written confirmation from a CPA, attorney, broker-dealer, or investment adviser affirming that the individual has been verified as an accredited investor within the past 90 days.
